CogX App - Privacy Policy

The CogX App (the app) is provided by CogX Limited, a company registered in England under company number 09804338 with its registered office at 20 Air Street, London, United Kingdom, W1B 5AN trading as CogX (we, our or us). We are the controller of personal data obtained via the app, meaning we are the organisation legally responsible for deciding how and for what purposes it is used.

We take your privacy very seriously. Please read this privacy policy carefully as it contains important information on who we are and how and why we collect, store, use and share any information relating to you (your personal data).

It also explains your rights in relation to your personal data and how to contact us or the relevant regulator in the event you have a complaint. Our collection, storage, use and sharing of your personal data is regulated by law, including under the General Data Protection Regulation (GDPR), the UK Data Protection Act 2018 (DPA) and the UK General Data Protection Regulation (UK GDPR).

If you are aged under 18 you must not use the app as it is not designed for you. We do not intend to collect the personal data of anyone under 18. If you are aware that any personal data of anyone under 18 has been shared with the app please let us know so that we can delete that data.

The app may link to other individuals, businesses, apps, websites or services owned and operated by us or by certain trusted third parties to help create valuable professional connections, access relevant content and make additional products, information and services available to you).

If you do not provide personal data we ask for where it is indicated to be ‘required’ at the point of collection, it may prevent us from providing services to you.

We collect and use this personal data for the purposes described in the section ‘How and why we use your personal data’ below.

Location services/data

The app will request your consent to use location services to precisely identify your location each session (i.e. each time the app is opened or has been placed in the background). We require access to that data in order to recommend you content and connections that may be more relevant to you due to your location.

If you do not provide your consent you may use the app but that will mean the content and connections suggested to you may be less relevant. To withdraw your consent at any time please contact us as set out below.

The location services in the app will not operate unless location services/data are generally enabled on your device. You may disable such functionality at any time by changing your device settings. When you allow your device to use location services/data, data will also be collected by the organisations providing the device operating system in accordance with their privacy policies.

Use of the camera and microphone on your device

Permission will be requested to use the camera and microphone on your device in order to enable certain features in the app, for example uploading your profile picture or recording your own content.

You may disable the app’s access to the camera and microphone on your device at any time by changing your device settings although that will mean that certain video and audio features on the app are no longer available.

How your personal data is collected

We collect personal data from you directly when you input it into the app or indirectly, such as your activity while using the app.

How and why we use your personal data

Under data protection law, we can only use your personal data if we have a proper reason, eg:

• where you have given consent
• to comply with our legal and regulatory obligations
• for the performance of a contract with you or to take steps at your request before entering into a contract, or for our legitimate interests or those of a third party

A legitimate interest is when we have a business or commercial reason to use your information, so long as this is not overridden by your own rights and interests. We will carry out an assessment when relying on legitimate interests, to balance our interests against your own. To manage the experience of any events hosted by us

In relation to the connection between you and third parties on the app we will use data based on your consent. Your Summary Profile information that you choose to upload (which comprises your name, company, job title, country but NOT your contact details) will be visible to other users if the app suggests you as a connection or if you consume the same content. Your email address will only be shared if you accept a connection request from another user

Marketing

We may use your personal data to send you updates (by email, text message, telephone or post) about our app, events, products and services, including offers, promotions or new services.

We have a legitimate interest in using your personal data for marketing purposes (see above ‘How and why we use your personal data’). This means we do not usually need your consent to send you marketing information. However, where consent is needed, we will ask for this separately and clearly.

You have the right to opt out of receiving marketing communications at any time by:

We will always treat your personal data with the utmost respect and never sell it to other organisations for marketing purposes without your consent.

We routinely share personal data with:

• service providers we use to help us run our business or provide the services or functionalities in the app, such as Amazon Web Services (AWS) and other agencies that host our servers, databases and systems that deliver the app’s functionalities, as well as services and analytics providers.

• relevant app stores where the app is available, such as Apple, Google and Amazon where you permit us to collect data as described in this privacy policy—for further information on how [these app stores protect personal data see their relevant privacy policies.

If you provide personal data to us through the app, certain personal data such as your name, company, job title, bio, contact details and profile image may be shared with our users (including business customers, publishers, partners and providers) in connection with the app, in the following ways:

• your Summary Profile information (which comprises your name, company, job title, country but NOT your contact details) will be visible to other users if the app suggests you as a connection or you consume the same content

• your Summary Profile information and details relating to your interaction with relevant content on the app will be visible to other users who publish such content on the app if you view their content or otherwise express interest in that user through the app

• if you choose to connect with a user through the app then you will share your email address with that user (who may choose to contact you by email outside of the app)

If a user contacts you outside of the app after you have accepted or initiated a connection through the app, we have no control over these communications and you should review that organisation's privacy policy in respect of opting out of receiving further communications or asking any questions regarding the processing of your personal data.

The Summary Profile information you make available through the app can be amended via your profile page. We only allow our group companies and service providers to handle your personal data if we are satisfied they take appropriate measures to protect your personal data. We also impose contractual obligations on service providers to ensure they can only use your personal data to provide services to us and to you.

We or the third parties mentioned above may occasionally also need to share your personal data with:

• professional advisors (such as lawyers, auditors and other advisors)—the recipient of the information will be bound by confidentiality obligations

• law enforcement agencies, courts or tribunals and regulatory bodies to comply with legal and regulatory obligations

• other parties in connection with a significant corporate transaction or restructuring, including a merger, acquisition, asset sale, initial public offering or in the event of our insolvency—usually, information will be anonymised but this may not always be possible, however, the recipient of the information will be bound by confidentiality obligations

How long your personal data will be kept

Different retention periods apply for different types of personal data.

When you send us personal data via email, for example to ask a question or make a comment, or by filling out a form that emails us this information, we use it to respond to your requests. Personal data processed for these purposes will be retained as long as necessary to complete our response.

The personal data you have shared with us, and that enables us to contact you, will be kept until you communicate to us your intention to terminate your user account on the app. Your data may be retained for a further 30 days following such communication or where such retention is required for us to fulfil our legal obligations. The data that you have shared will be stored in accordance with legal obligations. Analytics data collected for the purposes of audience measurement, retargeting, measurement of the performance, will be kept for up to 5 years following your use of the app.

Following the end of the relevant retention period, we will delete or anonymise your personal data.

Transferring your personal data out of the UK

Countries outside the UK have differing data protection laws, some of which may provide lower levels of protection of privacy. It is sometimes necessary for us to share your personal data to countries outside the UK. In those cases we will comply with applicable UK laws designed to ensure the privacy of your personal data.

For example we will transfer your personal data from the UK to Ireland where our hosting and database service providers are located.

Under data protection laws, we can only transfer your personal data to a country outside the UK where:

the UK government has decided the particular country ensures an adequate level of protection of personal data (known as an ‘adequacy regulation’) further to Article 45 of the UK GDPR

there are appropriate safeguards in place, together with enforceable rights and effective legal remedies for you, or a specific exception applies under relevant data protection law

Where we transfer your personal data outside the UK we do so on the basis of an adequacy regulation or (where such is not available legally-approved standard data protection clauses recognised or issued further to Article 46(2) of the UK GDPR. A list of countries the UK currently has adequacy regulations in relation to is available here and includes countries in the EEA. In the event we cannot or choose not to continue to rely on either of those mechanisms at any time we will not transfer your personal data outside the UK unless we can do so on the basis of an alternative mechanism or exception provided by UK data protection law.

Any changes to the destinations to which we send personal data or in the transfer mechanisms we use to transfer personal data internationally will be notified to you in accordance with the section on ‘Change to this privacy policy’ below.

Keeping your personal data secure

We have appropriate security measures to prevent personal data from being accidentally lost, or used or accessed unlawfully. We limit access to your personal data to those who have a genuine business need to access it.

We also have procedures in place to deal with any suspected data security breach. We will notify you and any applicable regulator of a suspected data security breach where we are legally required to do so.

Where we are unable to verify your identity based upon this information alone, we may require additional details. California Shine the Light Law

Under California’s Shine the Light law, California residents who provide us certain personal information are entitled to request and obtain from us, free of charge, information about the personal information (if any, and as defined under the law) that we have shared with third parties during the preceding calendar year for their own direct marketing purposes. Such requests may be made once per calendar year by emailing us at privacy@cogx.live. In your request, you must include the statement “Shine the Light Request,” provide your first and last name, email address and residential address, and certify that you are a California resident. We reserve the right to require additional information to confirm your identity and California residency.

Marketing

We may use your personal data to send you updates (by email, text message, telephone or post) about our app, events, products and services, including offers, promotions or new services.

We have a legitimate interest in using your personal data for marketing purposes (see above ‘How and why we use your personal data’). This means we do not usually need your consent to send you marketing information. However, where consent is needed, we will ask for this separately and clearly.

You have the right to opt out of receiving marketing communications at any time by:

We routinely share personal data with:

• service providers we use to help us run our business or provide the services or functionalities in the app, such as Amazon Web Services (AWS) and other agencies that host our servers, databases and systems that deliver the app’s functionalities, as well as services and analytics providers.

• relevant app stores where the app is available, such as Apple, Google and Amazon where you permit us to collect data as described in this privacy policy—for further information on how [these app stores protect personal data see their relevant privacy policies.

If you provide personal data to us through the app, certain personal data such as your name, company, job title, bio, contact details and profile image may be shared with our users (including business customers, publishers, partners and providers) in connection with the app, in the following ways:

• your Summary Profile information (which comprises your name, company, job title, country but NOT your contact details) will be visible to other users if the app suggests you as a connection or you consume the same content

• your Summary Profile information and details relating to your interaction with relevant content on the app will be visible to other users who publish such content on the app if you view their content or otherwise express interest in that user through the app


• if you choose to connect with a user through the app then you will share your email address with that user (who may choose to contact you by email outside of the app)

If a user contacts you outside of the app after you have accepted or initiated a connection through the app, we have no control over these communications and you should review that organisation's privacy policy in respect of opting out of receiving further communications or asking any questions regarding the processing of your personal data.

The Summary Profile information you make available through the app can be amended via your profile page. We only allow our group companies and service providers to handle your personal data if we are satisfied they take appropriate measures to protect your personal data. We also impose contractual obligations on service providers to ensure they can only use your personal data to provide services to us and to you.

We or the third parties mentioned above may occasionally also need to share your personal data with:

• professional advisors (such as lawyers, auditors and other advisors)—the recipient of the information will be bound by confidentiality obligations

• law enforcement agencies, courts or tribunals and regulatory bodies to comply with legal and regulatory obligations

• other parties in connection with a significant corporate transaction or restructuring, including a merger, acquisition, asset sale, initial public offering or in the event of our insolvency—usually, information will be anonymised but this may not always be possible, however, the recipient of the information will be bound by confidentiality obligations

How long your personal data will be kept

Different retention periods apply for different types of personal data.

When you send us personal data via email, for example to ask a question or make a comment, or by filling out a form that emails us this information, we use it to respond to your requests. Personal data processed for these purposes will be retained as long as necessary to complete our response.

The personal data you have shared with us, and that enables us to contact you, will be kept until you communicate to us your intention to terminate your user account on the app. Your data may be retained for a further 30 days following such communication or where such retention is required for us to fulfil our legal obligations. The data that you have shared will be stored in accordance with legal obligations. Analytics data collected for the purposes of audience measurement, retargeting, measurement of the performance, will be kept for up to 5 years following your use of the app.

Following the end of the relevant retention period, we will delete or anonymise your personal data.

Transferring your personal data out of the UK

Countries outside the UK have differing data protection laws, some of which may provide lower levels of protection of privacy. It is sometimes necessary for us to share your personal data to countries outside the UK. In those cases we will comply with applicable UK laws designed to ensure the privacy of your personal data.

For example we will transfer your personal data from the UK to Ireland where our hosting and database service providers are located.

Under data protection laws, we can only transfer your personal data to a country outside the UK where:

the UK government has decided the particular country ensures an adequate level of protection of personal data (known as an ‘adequacy regulation’) further to Article 45 of the UK GDPR

there are appropriate safeguards in place, together with enforceable rights and effective legal remedies for you, or a specific exception applies under relevant data protection law

Where we transfer your personal data outside the UK we do so on the basis of an adequacy regulation or (where such is not available legally-approved standard data protection clauses recognised or issued further to Article 46(2) of the UK GDPR. A list of countries the UK currently has adequacy regulations in relation to is available here and includes countries in the EEA. In the event we cannot or choose not to continue to rely on either of those mechanisms at any time we will not transfer your personal data outside the UK unless we can do so on the basis of an alternative mechanism or exception provided by UK data protection law.

Any changes to the destinations to which we send personal data or in the transfer mechanisms we use to transfer personal data internationally will be notified to you in accordance with the section on ‘Change to this privacy policy’ below.

Keeping your personal data secure

We have appropriate security measures to prevent personal data from being accidentally lost, or used or accessed unlawfully. We limit access to your personal data to those who have a genuine business need to access it.

We also have procedures in place to deal with any suspected data security breach. We will notify you and any applicable regulator of a suspected data security breach where we are legally required to do so.

Please be prepared to provide your first and last name and email address that matches information we currently have on file. Where we are unable to verify your identity based upon this information alone, we may require additional details. We will respond to verifiable requests received from California consumers as required by law.

California Shine the Light Law

Under California’s Shine the Light law, California residents who provide us certain personal information are entitled to request and obtain from us, free of charge, information about the personal information (if any, and as defined under the law) that we have shared with third parties during the preceding calendar year for their own direct marketing purposes. Such requests may be made once per calendar year by emailing us at privacy@cogx.live. In your request, you must include the statement “Shine the Light Request,” provide your first and last name, email address and residential address, and certify that you are a California resident. We reserve the right to require additional information to confirm your identity and California residency.
